1. About Us

Nanuskate Ltd is a company registered in England and Wales. These Terms and Conditions govern the use of the Nanuskate website and the purchase of Nanuskate products and services. By accessing our website or placing an order, you agree to be bound by these Terms. If you do not agree, you should not use our website or purchase our products.

2. Definitions

In these Terms:

"Company", "we", "us", "our" refers to Nanuskate Ltd.

"Customer" refers to the person, organisation, or business purchasing Products or Services.

"Products" refers to Nanuskate ramps, modules, accessories, parts, apparel and related goods.

"Services" refers to installation, event support, servicing, demonstrations or consultancy.

"Contract" means the agreement between Nanuskate and the Customer for the supply of Products or Services.


3. Application of Terms

These Terms apply to all sales of Products and Services by Nanuskate unless otherwise agreed in writing.

Certain provisions apply differently depending on whether the Customer is a business customer or a consumer purchasing for personal use. Nothing in these Terms affects the statutory rights of consumers under UK law.

No variation to these Terms shall be binding unless agreed in writing by Nanuskate.


4. Products

Nanuskate designs and manufactures premium modular portable skateboard ramp systems including:

•       Mini ramp systems

•       Modular ramp extensions

•       Platforms and deck systems

•       Accessories and spare parts

•       Apparel and branded merchandise

•       Event and demonstration infrastructure

All Products are subject to availability. Product images, descriptions, and specifications shown on our website or in marketing materials are for illustrative purposes only. Nanuskate reserves the right to make technical improvements or design changes to Products provided these do not materially reduce functionality or performance.


5. Orders

Orders may be placed via our website, via email, via written quotation, or through direct sales discussions.

An order is only accepted when Nanuskate issues a written order confirmation. Nanuskate reserves the right to refuse or cancel any order prior to confirmation.

For bespoke or custom builds, a written specification will form part of the Contract.


6. Pricing

All prices are quoted in GBP and are exclusive of VAT unless stated otherwise. Delivery, installation, and event support may be quoted separately.

Nanuskate reserves the right to adjust prices prior to order confirmation to reflect changes in material costs, labour costs, supply chain conditions, or shipping costs. Any such adjustment will be notified to the Customer before the Contract is finalised.


7. Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

Ramp System Orders:

•       50% deposit payable upon order confirmation

•       50% balance payable prior to dispatch

Production will not commence until the deposit has been received.

Smaller Products:

Accessories, parts, and apparel must be paid in full at the time of order unless otherwise agreed.

Late Payment:

Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998. Nanuskate reserves the right to suspend production or delivery where payments are overdue.


8. Retention of Title

Legal and beneficial ownership of all Products supplied by Nanuskate shall remain with Nanuskate until Nanuskate has received payment in full (in cleared funds) for: (a) all Products supplied under the Contract; and (b) all other sums due from the Customer to Nanuskate on any account whatsoever.

Until ownership passes, the Customer shall:

•       hold the Products as bailee for Nanuskate and store them separately from all other goods in the Customer's possession;

•       keep the Products clearly marked and identifiable as belonging to Nanuskate and not remove, deface or obscure any identifying mark or packaging on or relating to the Products;

•       not sell, charge, pledge, grant any lien over, or otherwise deal with the Products without the prior written consent of Nanuskate;

•       maintain the Products in satisfactory condition and keep them insured on Nanuskate's behalf for their full replacement value against all risks, and hold any insurance proceeds on trust for Nanuskate;

•       notify Nanuskate immediately if the Customer becomes subject to any insolvency event or if any person takes steps to enforce any security over or distrain upon the Products; and

•       give Nanuskate such information relating to the Products as Nanuskate may require from time to time.

If any of the following events occur before ownership of the Products passes to the Customer, Nanuskate may (without limiting any other right or remedy) immediately terminate the Contract and recover the Products: (a) payment becomes overdue; (b) the Customer suspends or threatens to suspend payment of its debts, or is unable to pay its debts as they fall due; (c) the Customer commences negotiations with creditors, makes a proposal for a voluntary arrangement, or enters into any composition or arrangement with creditors; (d) a petition is filed, a notice is given, a resolution is passed, or an order is made for the winding up of the Customer; (e) an application is made or an order is made for the appointment of an administrator, or a notice of intention to appoint an administrator is given; (f) a floating charge holder over the Customer's assets has become entitled to appoint, or has appointed, an administrative receiver; (g) a person becomes entitled to appoint a receiver over the Customer's assets or a receiver is appointed; (h) a creditor or encumbrancer attaches or takes possession of any of the Customer's assets; or (i) any event occurs or proceeding is taken in any jurisdiction which has an effect equivalent or similar to any of the above events.

The Customer grants Nanuskate, its agents and employees an irrevocable licence at any time to enter any premises where the Products are or may be stored in order to inspect them, or where the Customer's right to possession has terminated, to recover them. The Customer shall not impede or obstruct the exercise of Nanuskate's rights under this clause.

Nanuskate shall be entitled to maintain an action for the price of the Products notwithstanding that ownership of the Products has not passed to the Customer.

 

9. Delivery

Nanuskate will use reasonable endeavours to meet agreed delivery times. Delivery dates are estimates only and not guaranteed. We will not be liable for delays caused by circumstances beyond our reasonable control.

The Customer is responsible for ensuring suitable delivery access, appropriate unloading arrangements, and safe receiving of the goods.

Risk in the Products passes to the Customer upon delivery. For consumer customers, risk passes when the Products are physically received.

Any damage or discrepancies must be reported to Nanuskate within 48 hours of delivery.

If delivery cannot be completed due to Customer circumstances, Nanuskate may charge reasonable storage and redelivery costs.


10. International Sales

Nanuskate may accept orders from customers located outside the United Kingdom, subject to the following provisions.

Availability and Territories:

International shipping is available to selected countries at Nanuskate's discretion. Nanuskate reserves the right to decline orders from certain territories due to shipping constraints, regulatory requirements, or commercial considerations. Customers should contact Nanuskate before placing an order to confirm availability to their location.

Currency and Pricing:

All prices are quoted in GBP. International customers are responsible for any currency conversion costs or exchange rate fluctuations. Prices do not include import duties, taxes, or customs charges, which are the sole responsibility of the Customer.

Import Duties, Taxes, and Customs:

International orders may be subject to import duties, VAT, customs fees, or other local taxes imposed by the destination country. The Customer is the importer of record and is solely responsible for compliance with all applicable import regulations and for payment of all duties, taxes, and fees. Nanuskate has no control over these charges and cannot predict their amount. Delays caused by customs clearance are not the responsibility of Nanuskate.

International Shipping and Delivery:

Shipping costs for international orders will be quoted separately and must be paid in full before dispatch. Delivery times for international orders are estimates only and may be affected by customs processing, local delivery infrastructure, and other factors beyond Nanuskate's control. Risk in the Products passes to the Customer upon delivery to the international carrier at the point of export from the United Kingdom (Incoterms 2020: DAP or as otherwise agreed in writing). The Customer is responsible for providing accurate shipping information, including any documentation required for customs clearance.

Export Compliance:

The Customer shall comply with all applicable export control laws and regulations, including those of the United Kingdom and the destination country. The Customer warrants that they will not export, re-export, or transfer Products to any country, entity, or person prohibited under applicable export laws. Nanuskate reserves the right to refuse or cancel any order where it reasonably believes fulfilment may breach export control requirements.

Consumer Rights for International Customers:

The statutory cancellation rights described in Section 14 apply to consumers within the United Kingdom. International consumers may have different rights under their local laws. Where local consumer protection laws provide additional or different rights, Nanuskate will comply with applicable mandatory provisions. However, for international returns, the Customer is responsible for all return shipping costs and any customs or duty charges incurred.

Governing Law for International Sales:

Contracts with international customers remain governed by the laws of England and Wales. However, if the Customer is a consumer, this choice of law shall not deprive the Customer of the protection afforded by mandatory provisions of the law of the Customer's country of residence that cannot be derogated from by agreement.

 

EU-Specific Provisions (Post-Brexit):

The following additional provisions apply to orders from customers located in European Union member states.

VAT Treatment:

Since the United Kingdom's withdrawal from the European Union, Nanuskate is no longer registered for VAT in EU member states. Prices quoted to EU customers are exclusive of EU VAT. For goods valued over €150, EU import VAT and customs duties will be assessed by the destination country's customs authorities upon arrival. The Customer is responsible for paying all applicable EU VAT, import duties, and customs handling fees directly to the relevant authorities or carrier before goods are released. Nanuskate will provide commercial invoices and any other documentation reasonably required to facilitate customs clearance.

Product Conformity and CE Marking:

Products sold into the EU are required to comply with applicable EU product safety regulations. Nanuskate Products intended for the EU market bear CE marking where required and are accompanied by the relevant EU Declaration of Conformity. The Customer acknowledges that UKCA marking (used for the UK market) is not valid for placing products on the EU market. Nanuskate maintains technical documentation and will appoint an EU-based Authorised Representative where required by EU regulations.

EU Consumer Rights:

Consumers located in the European Union are entitled to the protections afforded by the EU Consumer Rights Directive (2011/83/EU), including a 14-day right of withdrawal from distance contracts without giving any reason. This right applies to standard Products only and does not apply to goods made to the consumer's specifications or clearly personalised (bespoke Products). To exercise the right of withdrawal, the EU consumer must inform Nanuskate of their decision within 14 days of receiving the Products by email to hello@nanuskate.com. The consumer must return the Products at their own cost within 14 days of notifying withdrawal. Nanuskate will refund all payments received (excluding the cost of delivery where the consumer chose a delivery method other than the least expensive standard delivery offered) within 14 days of receiving the returned goods.

EU Legal Guarantee:

EU consumers benefit from a minimum 2-year legal guarantee under EU law (Directive 2019/771) for goods that are faulty or do not conform to the contract. This guarantee applies in addition to any commercial warranty offered by Nanuskate. Within the first year following delivery, any lack of conformity is presumed to have existed at the time of delivery unless this is incompatible with the nature of the goods or the defect. The consumer may request repair, replacement, a price reduction, or termination of the contract in accordance with the Directive.

Returns from the EU:

EU customers returning Products (whether under the right of withdrawal, warranty claim, or otherwise) are responsible for all return shipping costs unless the Product is faulty or not as described. Returns from the EU may also incur customs or re-importation charges; these are the responsibility of the Customer unless the return is due to a fault or error by Nanuskate. Nanuskate recommends that EU customers use a tracked and insured shipping service for returns, as Nanuskate cannot accept responsibility for items lost in transit.

Data Protection for EU Customers:

Personal data of EU customers is processed in accordance with Nanuskate's Privacy Policy and in compliance with the EU General Data Protection Regulation (Regulation 2016/679). Transfers of personal data from the EU to the United Kingdom are conducted in reliance on the European Commission's adequacy decision for the UK, or where necessary, EU Standard Contractual Clauses. EU customers may exercise their rights under the GDPR, including rights of access, rectification, erasure, and data portability, by contacting Nanuskate at hello@nanuskate.com.


11. Assembly and Installation

Nanuskate ramp systems are designed for tool-free modular assembly. Detailed assembly instructions are supplied with all ramp systems.

Unless installation services have been purchased, the Customer is responsible for assembling Products correctly, installing ramps on suitable surfaces, and ensuring safe operation and supervision.

Nanuskate shall not be liable for issues arising from incorrect assembly, installation on unsuitable surfaces, or unauthorised modification of Products.


12. Safety and Product Use

Skateboarding and similar activities involve inherent risk of injury. Customers are responsible for ensuring that Products are used safely and appropriately.

Where ramps are used in public environments - including schools, skateparks, competitions, events, or commercial venues - Customers must ensure:

•       Adequate supervision at all times

•       Appropriate protective equipment is available and encouraged

•       Risk assessments are carried out before use

•       Appropriate public liability insurance is in place

Where applicable, use should comply with relevant safety standards including BS EN 14974.


13. Warranty

Nanuskate provides a 5-year structural integrity warranty on ramp systems, covering defects in materials or workmanship under normal use. Nanuskate's total liability under this warranty shall not exceed the original purchase price of the affected Product.

The warranty does not cover:

•       Normal wear and tear

•       Cosmetic damage

•       Misuse or neglect

•       Unauthorised modifications

•       Improper assembly or installation

•       Damage caused by unsuitable storage or environmental exposure

Products must be maintained in accordance with Nanuskate maintenance guidelines. Nanuskate may, at its discretion, repair the Product, replace defective components, provide a replacement product, or provide a partial refund.

The warranty applies only to the original purchaser unless otherwise agreed in writing by Nanuskate. Warranty claims must be notified to Nanuskate in writing within 60 days of the defect becoming apparent. Nanuskate reserves the right to inspect any Product before determining the appropriate remedy. The Customer shall bear the cost of returning Products to Nanuskate for inspection unless Nanuskate agrees otherwise in writing. This warranty does not affect statutory consumer rights.


14. Returns and Cancellations

Bespoke Products:

Custom or bespoke products cannot be cancelled once production has commenced. If cancelled prior to production, Nanuskate may deduct reasonable costs already incurred from any refund of the deposit.

Standard Products;

Customers must notify Nanuskate within 14 days of delivery if Products are faulty or not as described. Returned items must be unused and in their original packaging where possible.

Consumer Cancellation Rights;

Consumers purchasing for personal use have the right to cancel within 14 days of delivery under the Consumer Contracts Regulations 2013, without giving any reason. To exercise this right, the consumer must notify Nanuskate in writing (including by email to hello@nanuskate.com) within the 14-day period. The consumer must return the Products to Nanuskate at their own cost within 14 days of giving notice of cancellation. Products must be returned in their original condition and packaging. Nanuskate will refund the purchase price (excluding the cost of delivery) within 14 days of receiving the returned Products or evidence that they have been sent back. This cancellation right does not apply to Products which are made to the consumer's specifications or are clearly personalised (bespoke Products).


15. Intellectual Property

All intellectual property rights in Nanuskate's ramp designs, engineering drawings, branding, logos, website content, and marketing materials remain the property of Nanuskate Ltd or its licensors.

No rights are transferred to the Customer except the right to use the purchased Products for their intended purpose. Nanuskate designs may not be copied, reproduced, or commercially replicated without prior written consent from Nanuskate.


16. Marketing and Media

Nanuskate may photograph or film Products installed or used at events, venues, or customer sites for marketing and promotional purposes, including on our website and social media channels, subject to the following conditions:

Nanuskate will obtain prior written consent before photographing or filming at any school, youth club, or other setting where children under 18 may be present;

Nanuskate will not capture or publish any images or footage in which individual children are identifiable without the express written consent of a parent or legal guardian;

Where consent is obtained, Nanuskate will comply with all applicable data protection legislation including the UK GDPR and Data Protection Act 2018;

The Customer shall be responsible for obtaining any necessary consents from individuals present at their premises or events, and shall indemnify Nanuskate against any claims arising from failure to obtain such consents.

Customers who do not wish their installation, site, or event to be featured in Nanuskate marketing must notify us in writing prior to delivery or the relevant event. For school or youth settings, Nanuskate will always seek explicit opt-in consent before any photography or filming takes place.


17. Limitation of Liability

For business customers: To the maximum extent permitted by law, Nanuskate's total liability under any Contract shall not exceed the total amount paid by the Customer for the relevant Products or Services. In any event, Nanuskate's aggregate liability for all claims arising in any 12-month period shall not exceed £100,000. These limitations shall apply whether liability arises in contract, tort (including negligence), breach of statutory duty, or otherwise.

For business customers: Nanuskate shall not be liable for: (a) loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings, or loss of data; (b) any indirect, special, incidental, punitive, or consequential losses howsoever arising; (c) any claims by third parties arising from the Customer's use of Products; (d) any losses arising from the Customer's failure to follow assembly instructions, maintenance guidelines, or safety requirements; (e) any losses arising from the use of Products in environments for which they were not designed or approved; or (f) any losses arising from delay in delivery or non-delivery of Products where this is due to circumstances beyond Nanuskate's reasonable control.

For consumers: The limitations and exclusions set out above do not apply to consumer customers purchasing for personal use. Consumers retain all statutory rights under the Consumer Rights Act 2015, including rights in relation to goods that are faulty, not as described, or not fit for purpose. If Nanuskate fails to comply with these Terms, Nanuskate is responsible for loss or damage suffered by a consumer that is a foreseeable result of Nanuskate's breach or negligence, but Nanuskate is not responsible for any loss or damage that is not foreseeable.

Customer indemnity (business customers only): The Customer shall indemnify and hold harmless Nanuskate, its directors, officers, employees, and agents against all claims, actions, proceedings, losses, damages, costs (including legal costs on a full indemnity basis), and expenses arising from or in connection with: (a) the Customer's use of Products other than in accordance with Nanuskate's instructions and guidelines; (b) the Customer's failure to maintain appropriate insurance, supervision, or safety measures; (c) any third-party claims relating to the Customer's use of Products at events, venues, or public settings; (d) any breach by the Customer of its obligations under these Terms; or (e) any negligent or wrongful act or omission of the Customer or its employees, agents, or subcontractors.

Non-excludable liability: Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); (d) breach of the terms implied by sections 9, 10, 11, 13, 14, 15 and 16 of the Consumer Rights Act 2015 (where the Customer is a consumer); (e) defective products under the Consumer Protection Act 1987; or (f) any other liability which cannot be limited or excluded under applicable law.


18. Force Majeure

Nanuskate shall not be liable for delays or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, pandemic or epidemic, supply chain disruption, labour shortages, government restrictions, or transport failures.

Nanuskate will notify the Customer as soon as practicable where a force majeure event affects performance and supply and will use reasonable endeavours to minimise any impact.


19. Website Use

While Nanuskate aims to ensure website accuracy and availability, we do not guarantee that the website will be uninterrupted, error-free, or always available.

Users must not misuse the website by introducing viruses, malicious code, or by attempting unauthorised access to any part of our systems.


20. Privacy

Nanuskate processes personal data in accordance with our Privacy Policy, available on our website at www.nanuskate.com.


21. Changes to Terms

Nanuskate may update these Terms from time to time. The current version will always be available on our website, with the date of last update shown at the top of this document.


22. Governing Law and Disputes

These Terms and any Contract between Nanuskate and the Customer are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

In the event of a dispute, we encourage Customers to contact us in the first instance at hello@nanuskate.com to seek an amicable resolution before formal proceedings are commenced.
